1. GENERAL TERMS

By accessing or using the HireIP website, services, or any application provided by TechVerse Technology Co., Ltd. ("TechVerse") (collectively referred to as the "Services"), you agree to comply with and be bound by the User Terms of Service ("Terms of Service"). These Services are owned and operated by TechVerse.

These Terms of Service directly impact your legal rights and obligations. If you do not agree to any part of these Terms, please discontinue the use of the Services immediately. For any inquiries related to these Terms of Service, please contact us at [email protected].

Updates to the Terms of Service

We may update these Terms of Service at any time to ensure:

  • Compliance with legal and regulatory requirements.
  • Adjustments to TechVerse's internal policies.
  • Optimization of the HireIP platform to enhance user experience.

HireIP will notify you of any changes through an appropriate communication method, determined at our discretion. The updated Terms will take effect immediately upon publication and apply to all ongoing use of the Services.

If you do not agree with the revised Terms after receiving the notification, you may cease using the Services. However, if you continue to use HireIP after the effective date of the modifications, your continued use constitutes acceptance and agreement to the revised Terms of Service.

2. DEFINITIONS AND INTERPRETATIONS

a. HireIP Database or HireIP Databases: Refers to the complete list of job postings on the HireIP platform, as well as all user and employer information that has been registered and stored within HireIP's system.
b. HireIP Profile Database or Profile Databases: A collection of user profiles created or posted within HireIP's database system.
c. HireIP Services: Any services provided by HireIP, including but not limited to CV creation assistance, career consultation, job searching, and candidate-employer matchmaking.
d. Personal Profile: Includes all personal information, CVs, and related documents created by the user or uploaded to HireIP's system.
e. Text Content: Refers to all textual content appearing on the HireIP platform, including authored documents, guided search content, and informational or instructional materials.
f. You: A term used to refer to the users of HireIP's services within the scope of these Terms of Use.
g. User: Any individual or entity that utilizes any aspect of the HireIP platform, including services for job seekers and employers.
h. User Content: Includes all information, data, text, software, music, audio, images, graphics, video, advertisements, messages, or other materials submitted, posted, or displayed by users on or through the HireIP platform.

3. USER REGISTRATION AND VERIFICATION

To use the HireIP Services, you must create an account as required by HireIP. By registering, you agree to fully comply with HireIP's policies and ensure that all information you provide is accurate, complete, and up to date at the time of registration.

Your rights and obligations will be based on the registered account information. HireIP is not responsible for any incorrect or misleading information that affects or limits your rights.

If HireIP determines that the information or documents you have provided are inaccurate, fraudulent, deceptive, or violate legal regulations, and if they harm the company's financial interests, reputation, or business strategy, HireIP reserves the right to deny service or restrict access to your account.

Consequences of Violations:

  • Depending on the severity of the violation, your access to certain services may be limited, or your account may be temporarily suspended.
  • HireIP reserves the right to terminate your access to services without prior notice if you violate the platform's policies or disrupt business operations.
  • HireIP retains the right to pursue legal action against any individual or entity providing false information that results in financial loss, reputational damage, or other harm to HireIP.

4. PASSWORD AND SECURITY

a. Creating and Securing Your Password

When registering an account on HireIP, you will be required to create a password to protect your account. To ensure security and prevent fraud, you are responsible for keeping your password confidential and must not share it with anyone. If you suspect your password has been compromised, you should immediately notify HireIP via email at [email protected].

b. Account Ownership and Content on HireIP

The HireIP account is under the management of HireIP. You acknowledge that all content displayed on the platform, including information you provide, résumés, browsing history, images, data, designs, graphics, videos, audio, and any associated links, are owned by HireIP.

Once your registration is complete, you are granted the right to use your account, but you may not transfer, sell, lease, or share the account with others. If HireIP determines that an account is being used by someone other than the original registrant, HireIP reserves the right to suspend or permanently disable the account to protect data security.

c. Prohibition on Third-Party Account Sharing

For security and authenticity purposes, you must not provide account credentials to third parties or allow them to use your account, unless required by law or explicitly approved by HireIP. If such actions result in privacy breaches or financial loss, you are fully responsible and must compensate HireIP and affected parties for any damages incurred.

d. Handling Security Violations

If HireIP has reasonable grounds to believe there has been a security violation or misuse of the platform, we may take the following actions:

  • Request that you change your password to protect your account.
  • Suspend account access if you fail to cooperate in resolving the issue.

e. Liability for Data Leaks

If your personal data is leaked due to improper account usage or for reasons unrelated to HireIP's fault, you will be fully responsible for all resulting risks and consequences. Furthermore, if such incidents cause harm to HireIP, you are required to compensate for any losses incurred.

f. Lost Password or Misuse of HireIP Services

If you lose your password or misuse the HireIP platform and the issue is not due to HireIP's error, then:

  • You will bear full responsibility for any damages.
  • You are obligated to compensate HireIP if the misuse results in financial or reputational harm.

5. ACCESS RIGHTS AND INFORMATION COLLECTION

a. Consent to Information Collection

By using the HireIP website, you acknowledge and agree that we have the right to collect the following information, including all updates and modifications if applicable:

  • Personal Information: Such as your full name, phone number, and email address, which you provide to create your profile.
  • Professional Information: Including your work experience, career aspirations, job objectives, skill level, salary expectations, and other relevant data.

b. User Responsibility for Uploaded Content

You are fully responsible for the format, content, and accuracy of any information, profiles, or documents you upload to the HireIP platform. HireIP assumes no legal liability for any damages resulting from inaccurate content or violations of third-party rights due to information provided by you.

c. Third-Party Service and Product Recommendations

HireIP may suggest third-party services or products based on your needs and usage behavior, provided you agree to receive such recommendations.

d. Legal Compliance and Disclosure

HireIP has the right to comply with legal requirements from regulatory authorities, including the disclosure or storage of user data when officially requested by competent government entities.

e. Sharing Personal Data with Employers

Your personal information, profile, or account data will only be shared with potential employers on HireIP if you provide explicit consent.

f. Privacy Protection and Profile Visibility

HireIP respects your privacy. If you do not want your profile to be publicly accessible, you may disable the job search function, restricting employer access to your profile.

g. Account Ownership and Data Retention

You acknowledge that HireIP retains ownership of user accounts. If your account is terminated or deactivated, your data may be completely deleted from the platform. However, due to technical delays or regulatory storage requirements, some residual data may temporarily remain.

h. Legal Responsibility for False Claims

If you file a complaint against another user for violating laws or terms of service, you are legally responsible for any false claims made. Additionally, you must compensate HireIP or affected parties for any resulting damages.

i. Inactive Account Deletion

HireIP reserves the right to delete accounts and all associated information if they remain inactive for an extended period. Account restoration will only be considered upon official written approval from HireIP.

j. Data Removal for Policy Violations

HireIP reserves the right to decline or delete any data you provide if it is deemed to violate company policies, Vietnamese law, or is inappropriate based on ethical and cultural standards.

6. INTELLECTUAL PROPERTY STATEMENT

User Commitments

By using HireIP, you agree and warrant that:

  • You own or have the necessary licensing rights to all content you upload to the platform.
  • The use and publication of such content do not infringe upon any privacy rights, copyrights, trademarks, or other intellectual property rights of third parties.
  • You grant HireIP a non-exclusive, worldwide, perpetual, royalty-free license to copy, modify, distribute, publish, display, or create derivative works from the content you upload.
  • You authorize HireIP to use your company name, brand, images, or logo for recruitment, communication, and promotional purposes.
  • You are responsible for paying any applicable royalties arising from the content (if applicable).
  • You possess the full legal authority and capacity to fulfill these commitments.

HireIP-Owned Content

  • All content owned or licensed by HireIP ("HireIP Content") is protected under copyright, intellectual property, trademark, trade secret laws, and related legal provisions.
  • Users must not copy, modify, republish, distribute, or exploit any part of HireIP Content without prior written authorization from HireIP.

Trademark and Commercial Assets

  • The HireIP logo, trade name, and other brand identifiers are proprietary assets and must not be used without prior written consent.
  • This includes page headers, icons, custom interface designs, scripts, and related graphical elements.

Service Disruptions and Content Control

  • HireIP services may experience temporary disruptions due to maintenance, technical issues, or bug fixes.
  • HireIP reserves the right to remove content that violates legal regulations, internal policies, or harms the reputation, security, or brand of the platform.
  • Users who breach the Terms of Use may face permanent account suspension.
  • Deleted content may be retained internally for legal reasons, but HireIP does not guarantee retrieval unless required by court order.
  • HireIP shall not be held liable for service disruptions or data loss caused by connectivity issues or unforeseen circumstances.

Disclaimer Regarding User-Generated Content

  • HireIP does not assume responsibility for the accuracy of content uploaded by users.
  • HireIP retains the right to block, remove, or take action against fraudulent, misleading, offensive, or Terms of Use-violating content.
  • Users assume personal risk when relying on or using information from other users.
  • HireIP reserves the right to cooperate with legal authorities if any content is suspected of violating laws.

7. DISCLAIMER

Service Commitment Limitations

  • HireIP does not guarantee or warrant that its services will be free from errors, interruptions, or harmful components (including but not limited to viruses or malware). HireIP does not ensure the accuracy, completeness, or usefulness of any content, instructions, or information posted on its platform.
  • The use of HireIP's services is at your own risk. HireIP is not responsible for ensuring that the services comply with legal regulations in the jurisdiction where you reside or access the platform.
  • Note: Some jurisdictions do not permit liability limitations or implied warranty disclaimers, meaning parts of this disclaimer may not apply to you, as permitted by applicable law.

b. User's Legal Compliance Commitment

By accessing or using HireIP's services, you confirm that all activities conducted on the platform are legally compliant within your jurisdiction.

User's Legal Responsibility

Users agree to bear full legal responsibility for any damages or losses arising from or related to:

  • Content or information uploaded to HireIP, including personal profiles, job postings, applications, comments, and other submissions.
  • Fraudulent or deceptive practices in recruitment. Although HireIP issues warnings and recommendations via official channels, users must independently verify information before applying for jobs or providing data.
  • Misuse of the platform, including failure to follow instructions or violation of HireIP's policies.
  • Technical issues, network errors, delays, or service disruptions occurring during platform usage.
  • Third-party legal violations (e.g., intellectual property infringement, privacy breaches) occurring on the platform without HireIP's involvement or fault.

d. Legal Liability Disclaimer

By using HireIP's services, you agree to fully exempt HireIP from liability and waive any claims, lawsuits, or compensation requests related to the above-mentioned matters, except as required under Vietnamese law.

8. LIMITATION OF LIABILITY

Under no circumstances shall HireIP be liable to you or any third party for any losses or damages of any kind, including but not limited to direct, indirect, financial, incidental, special, consequential, negligent, or punitive damages, whether foreseen or unforeseen, arising from or related to any of the following:

e. The use or inability to use HireIP's services.
f. Content displayed, provided, or published by HireIP.
g. Content, information, or materials uploaded by users.
h. Service results, effectiveness, errors, interruptions, or overall performance.
i. Investigations conducted by HireIP or regulatory authorities regarding the use of services.
j. Legal actions related to copyright or third-party intellectual property rights.
k. Technical failures, operational errors, or deficiencies in service delivery.
l. Damages to your electronic devices (computers, phones, software, network, transmission systems, etc.) caused by malware, viruses, network failures, unauthorized access, security breaches, technical malfunctions, data loss, service disruptions, or any other objective or subjective causes.

This includes but is not limited to:

m. Loss of profits
n. Loss of reputation
o. Loss of data
p. Work interruptions
q. Reduced productivity
r. Erroneous results
s. Damage to systems or devices

Even if HireIP has been advised of the possibility of such damages or could have anticipated them, HireIP shall remain fully exempt from liability, regardless of whether the cause stems from contractual obligations, negligence, extracontractual actions, natural disasters, technical failures, third-party misconduct, or any other legal grounds.

Under all circumstances, HireIP shall not be liable for personal injury, death, or non-material losses resulting from the access, use, or inability to use the services.

9. PAYMENT INFORMATION PRIVACY POLICY

Secure Payment System

The HireIP platform utilizes a payment system provided by licensed payment gateway partners in Vietnam. All cashless transactions conducted via HireIP's website or mobile application comply with the highest payment security standards, in accordance with the regulations and technical requirements set by these partners.

Collected Payment Information

When employers make cashless payments through HireIP's website or application, we may collect the following information:

  • Customer order ID
  • Transaction value (amount paid)
  • Time of transaction
  • Transaction reference number issued by the payment gateway partner

No Storage of Bank Card or Account Information

HireIP does not collect or store sensitive payment details such as:

  • Bank card numbers
  • Card security codes (CVV, OTP)
  • Account statements
  • Other legally recognized banking identification data

All sensitive payment details are encrypted and processed exclusively through the payment gateway partner's system. Responsibility for securing this information rests solely with the payment provider.

10. FORCE MAJEURE EVENTS

A "force majeure event" refers to circumstances that arise objectively, unexpectedly, uncontrollably, and cannot be resolved, despite the parties involved taking all necessary measures within reasonable capability. These events may include but are not limited to:

Natural Disasters

Storms, floods, fires, earthquakes, droughts, epidemics, pandemics, or government-mandated lockdowns.

Political Unrest and Regulatory Changes

Political instability, war, riots, embargoes, or changes in legal policies.

Technical Failures

Cyberattacks, fiber-optic cable disruptions, system crashes, unauthorized intrusions into IT systems, or server malfunctions.

Acts of Sabotage or Service Interruptions

Vandalism, strikes, or service disruptions caused by third-party providers.

Government Decisions or Orders

Official decisions, orders, or directives from regulatory authorities that impact a party's ability to fulfill obligations.

Consequences of Force Majeure Events:

Force majeure events may result in:

  • Inaccessibility to the HireIP platform
  • Slow connection speeds
  • Data loss
  • Personal information breaches

In such cases, HireIP is exempt from fulfilling part or all contractual obligations during the duration of the force majeure event. However, HireIP remains committed to making the utmost efforts to resolve the issue and minimize any negative impact.

11. DISPUTE RESOLUTION

a. Governing Law

Governing Law – Any disputes arising from the use of HireIP's services shall be resolved in accordance with the current laws of the Socialist Republic of Vietnam.

Complaint Submission Channels

Users with complaints related to HireIP's services or products must notify us immediately after the incident occurs through the following contact channels:

Complaint Handling Process

HireIP will review each case individually and determine an appropriate resolution. The complainant is responsible for:

  • Providing complete documents, evidence, and relevant information.
  • Ensuring the accuracy of all submitted materials.

d. Eligibility for Complaint Processing

Eligibility for Complaint Processing – HireIP will only accept and process valid complaints and allegations if the user has provided complete, accurate, and truthful registration information.

Disputes Between Users or Third Parties

In cases of disputes between users or with third parties, HireIP may:

  • Provide contact information for the parties to resolve the matter independently, or
  • Intervene based on the specific circumstances to protect the legitimate and legal rights of users.

f. Liability Waiver and Compensation

Liability Waiver and Compensation – Users agree to defend, indemnify, and hold HireIP harmless from any claims, complaints, legal proceedings, damages, and expenses (including attorney and advisory fees) arising from the user's violations during service usage.

g. Court Resolution

Court Resolution – If a dispute remains unresolved within 60 days from the date of formal notification, either party has the right to file a case with the competent People's Court in Ho Chi Minh City in accordance with Vietnamese law. The losing party shall bear all legal costs associated with the proceedings.

12. EFFECTIVENESS

a. Updates and Notifications

The provisions in these Terms of Use may be updated or modified at any time to reflect changes in services or legal regulations. HireIP will notify users through methods determined by HireIP, which may include announcements on the website, emails, or notifications via the application.

b. Partial Validity

If one or more provisions of this document are declared invalid by a competent authority or are found to be inconsistent with applicable laws, those provisions will be adjusted accordingly. The remaining provisions shall remain valid and legally enforceable.

c. Legal Binding Effect

These Terms of Use constitute an electronic contract. Under the Electronic Transactions Law, the legal validity of this contract cannot be denied merely because it exists in the form of digital communication.

d. User Agreement and Responsibilities

By clicking "I Agree" or continuing to use the service, the User confirms that they have read, understood, and agreed to be bound by all provisions of these Terms.

If the User violates these Terms, they shall bear full legal responsibility and compensate for any damages (if applicable) incurred by HireIP.
